图达通拟赴美上市！速腾聚创收到证监会问询

8月11日，中国证监会国际合作部发布关于Innovusion Holdings Ltd.（图达通控股有限公司）境外发行上市备案通知书(国合函〔2023〕1085号)。

资料显示，图达通（Innovusion）计划发行不超过 21382252 股普通股，并在美国纳斯达克交易所上市。这是今年以来第四家赴美IPO获取备案通知书，经查询，中国证监会并未披露该公司备案信息，且未发现其公开披露的招股文件，只有其于2016年向美国SEC提交Form-D。

与此同时，前不久向港交所提交上市申请的另一家中国激光雷达速腾聚创（Robosense）也收到了来自中国证监会的最新备案补充材料要求（反馈意见），内容如下：

请你公司补充说明以下事项，请律师核查并出具明确的法律意见：

一、关于股权架构情况，请说明你公司股权架构设立的合规性，包括但不限于搭建及返程并购涉及的外汇管理、境外投资等监管程序履行情况、税费依法缴纳情况等，并列表说明搭建及返程并购涉及的资金往来情况，返程并购过程中股份转让定价依据及公允性。

二、关于股东及股权变动情况，请说明：

（1）股权激励计划的合法合规性，以及预留权益的授予对象范围，是否存在外部人员和未明确授予对象的情况；

（2）你公司主要股东存在通过信托持股，请补充说明信托设立时间、类型及运作方式、期限、当事人权利义务安排及受益人等情况；

（3）你公司2022年10月27日及后续增资价格较2022年10月21日增资价格大幅增加的原因。
