光库科技1月26日晚公告，公司拟以自有资金1.56亿元收购拜安实业52%股权。收购完成后，公司将成为拜安实业的控股股东。

光库科技表示，拜安实业在车规级1550nm激光雷达光源模块方面具有良好的解决方案，未来增长潜力较大，通过本次收购可以增强公司在车载激光雷达光源模块领域的竞争实力，扩大公司的战略布局。

此次交易完成后，公司与拜安实业在光通讯器件、激光光源模块、技术研发、客户资源等方面将实现优势互补，形成战略协同，有利于公司拓展新的业务，丰富公司的产品线，提高公司的综合竞争力。

财务数据显示，2022年，拜安实业实现营业收入5353万元，净利润-1284万元；2023年前7月，拜安实业营业收入为2661万元，净利润-1127万元。截至2023年7月底，拜安实业资产总额为1.1亿元，净资产为2623万元。

公告披露，此次收购业绩承诺期为2024年至2026年，目标营收分别为1.6亿元、2亿元、2.5亿元；目标扣非净利润分别为1000万元、1500万元、2000万元。如标的公司业绩承诺期内的任一年度实际营业收入/净利润均不低于当年承诺数的80%，则补偿义务人在当年无需进行补偿，业绩承诺期满后统一进行现金补偿。业绩承诺期届满后，若标的公司业绩承诺期内的三个会计年度累计实际净利润超过三个会计年度累计承诺净利润的，则上市公司同意以超出部分的30%对截至业绩承诺期满仍任职于标的公司的管理层和核心员工进行奖励，奖励总额不超过本次交易作价的20%。
